The Annual General Meeting (AGM) 2023 of Varia US Properties AG took place today in Zurich. A total of 5,954,991 voting shares corresponding to 58.81% of the entire share capital were represented by their owners in person, an individual proxy or by the independent proxy.
Among others, the following agenda items and motions were approved by the shareholders:
- Additional true-up dividend distribution for the business year 2022 of CHF 1.20 per share, payable on 10 May 2023 (together with the fourth and last quarterly dividend distribution of CHF 0.50 per share for the business year 2022 that was already approved at the AGM 2022). CHF 0.60 of the true-up and CHF 0.25 of the quarterly dividend will be paid out of the available earnings, the remaining CHF 0.60 of the true-up and the remaining CHF 0.25 of the quarterly dividend from capital contribution reserves.
- Continued quarterly dividend distribution program of CHF 2.00 per share for the business year 2023 (based on the current number of outstanding shares of 10,126,018), payable in four installments of CHF 0.50 each on 9 August 2023, 9 November 2023, 9 February 2024, and 9 May 2024. CHF 0.25 of of the quarterly dividend distribution will be paid out of the available earnings, the remaining CHF 0.25 from from capital contribution reserves.
- Re-election of all current members of the Board of Directors as well as the current Chairman for an additional term of one year until the AGM 2024.
